Please read these terms and conditions carefully. By using this website and/or platform, you agree to be bound by all of the below terms and conditions and privacy policy.

MentorSkid ("Company", "We" or "Us") operates the website https://mentorskid.com (together, the "Platform"), which is engaged in the service of online tutoring to children and adults. These terms and conditions describe the terms on which the Company grants end users access to the Platform ("Services") and should be read alongside the Privacy Policy available on the Platform.

The Platform is primarily for both learners and teachers. Anyone below 18 years of age is assumed to be a child ("Child") and needs parental consent to use the Platform. The parents of the Child, or users above 18 years of age, are referred to as "You". The term "Users" refers to You and/or the Child.

Terms of Service

By choosing to visit and/or use any Services provided by the Company, you agree to these Terms (as may be amended from time to time). If you are a parent or guardian and you consent to your child's use of the Platform, you agree to be bound by these Terms with respect to their use of the Platform. Continued access or use of the Platform signifies your agreement to be legally bound by these Terms. If you do not agree, please exit this page and stop using the Services.

Description of Services

The Company facilitates online training and education services for both children and adults, aiming to provide lessons in different subjects through a virtual classroom that removes restrictions on time and place.

The Company organizes learning into modules that learners are expected to complete, supported by tutors who assist with those modules.

To access the Services, the Child or You may need to create an account and disclose personal information, including but not limited to: name, email, photograph, location and other contact details; gender and other demographics; birth date to validate the Child's age; and the email address of the Child's parent or guardian to obtain parental consent.

License to Use

The Company grants You and the Child a limited right to access, view and use the Platform solely for accessing, viewing, posting or submitting user material, using embedded links, placing store orders, or accessing information, applications and services. The Company may suspend or deny access to all or part of the Platform at its sole discretion. This license is limited to personal, non-commercial use. Any rights not expressly granted are reserved by the Company.

Intellectual Property Rights

The Company retains all rights — including copyrights, trademarks, patents, designs, logos, trade dress, trade secrets and know-how — in all information provided on or via the Platform, including the curriculum, texts, graphics, photos, illustrations, apps and logos. You may not copy, download, publish, distribute or reproduce any information from the Platform or its social media without the Company's prior written consent.

Linking

You or the Child may link to the Platform provided that the link:

• is legal and does not damage or take unfair advantage of our reputation or business;
• is not for advertising or promotional purposes, unless we have expressly agreed;
• does not come from a site that promotes political or religious views, or promotes intolerance, hatred, discrimination, violence, pornography or illegal activity;
• does not falsely imply that we endorse, approve of, or are associated with the linked site; and
• does not frame our site — you must not provide access to the Platform under any other URL.

The Company may withdraw this right to link at any time, at its sole discretion. Links to third-party websites are provided for your information only, and you access them at your own risk; the Company is not liable for the content or operation of third-party sites.

Payment and Refund

The Platform offers a combination of free and paid services, and payments are made according to the plans you choose. All payments go through the mechanisms the Company puts in place, including card payment, online bank transfer and wallet payment; these are governed by the relevant third-party providers' terms, which you agree to be bound by.

Card and bank transfer payments are processed via a payment gateway and are also governed by the terms between Users and the relevant issuing bank or payment provider. The Company is not liable for unauthorized use, fraud, or lost amounts in a transaction. Refunds are limited to amounts paid for Services that were not actually rendered. EMI transaction refunds may include interest as per the bank's regulations.

Any app store or play store publishing charges are the User's responsibility. Free trials on the Platform are also governed by these Terms.

User Content

The Company allows You and the Child to submit, post, display or share content such as articles, commentary, photos, text, music, video, audio, graphics, data, questions, comments, suggestions or other material. The Company may remove content at its discretion.

We do not encourage your Child to post personal information on the Platform; any consequences of doing so are borne by the User. You may request removal of such information by emailing the Company, which will review such requests before responding.

You warrant that content you or the Child post — and content on any linked site — will not be misleading, defamatory, plagiarized, abusive, threatening, false, offensive, discriminatory, obscene, hateful, or in breach of confidentiality, privacy, intellectual property or applicable law; will not prejudice legal proceedings, criticize Company personnel, contain malicious code, advertise unrelated products, constitute spam, impersonate another person, or otherwise breach these Terms.

The Company is not responsible for User content and you must not attempt to undermine any security protections the Company has in place. You consent to video/audio recording of lectures and sessions as part of the Services.

All rights, ownership and intellectual property in User Content created by your child while using the Platform vest in the Company, on a worldwide, royalty-free, perpetual basis, and the Company may use, copy, modify, adapt and distribute such content. You and your child agree to use the Platform only for its intended purposes and to be solely responsible — and to indemnify the Company — for any unauthorized or unlawful use, or for content that infringes third-party rights, contains malware, or violates applicable law.

Intended Purpose of Use

Any application, code or content created using the Platform is intended solely as a prototype for educational purposes and feedback gathering — not for commercial use. Any other use is prohibited, and the Company is not liable for it; you and your child agree to indemnify the Company for any resulting loss or damages.

Fitness of Use

Apps built using the Platform are for educational and evaluation purposes only, may have limited functionality, and are not fit for commercial use. They may contain unresolved bugs or security issues, and personal information could become available to other users. Any commercial or unauthorized use is at the sole risk of the user, and you and your child agree to indemnify the Company for any resulting loss or damages.

User Communication

You consent to receive email, telephone, WhatsApp or Telegram messages from MentorSkid for service-related alerts and information, even where your number is registered on a "Do Not Disturb" list. Reply "STOP" to stop receiving SMS, or "HELP" for assistance; standard data charges apply.

Rule of Conduct

Users must comply with laws applicable to their location and keep the information they provide accurate and complete. Among other things, you agree not to: hack, reverse-engineer or create derivative works from the Service; tamper with proprietary notices or program code; mimic the Service's data or functionality; make unauthorized commercial use of the Service; make the Service available to third parties; or use the Service for any unlawful or immoral purpose. The Service may only be accessed via authorized servers, and you consent to monitoring aimed at identifying unauthorized third-party programs.

Limited Liability

You are personally liable for any violation of a third party's rights by You or your Child, and agree to reimburse the Company for damages resulting from a breach of these Terms, including legal costs, except where the User is not responsible for the infringement.

The Company strives for accurate tutor-led training but does not guarantee its accuracy or suitability for any purpose, and makes no warranty as to the quality of lectures. If a tutor uses inappropriate or abusive language or content during a live class, please contact the Company immediately using the details in the Contact clause below; the Company will take reasonable action under applicable law but disclaims liability for such circumstances.

The Company is not responsible for unethical or illegal acts by the Child following a tutor's advice — it is your responsibility to monitor your Child's use of the Platform. The Company is not liable for indirect, incidental or consequential damages arising from your use of the Platform, and total liability is capped at the amount you actually paid the Company for the Services.

External third-party sites linked from the Service have not been verified by the Company, and you access them at your own risk; the Company excludes liability for loss arising from such sites, from interruptions or inaccuracies in the Service, from viruses or malicious software, and for the Service's uninterrupted or error-free operation, including where caused by events beyond the Company's reasonable control (such as internet or communications outages, fire, flood, war, or force majeure). You remain responsible for keeping your username and password confidential and for all activity on your account.

Third-Party Permission

The Company works with third-party service providers, and by accepting these Terms you grant those providers permission to use your information and contact you in furtherance of the Services, even where your number is on "Do Not Disturb". The Company is not liable for disputes between you and a third-party provider.

The Company may modify these Terms due to legal changes, court decisions, technical necessity, business operations, market conditions, or for the User's benefit — provided any amendment does not substantially disrupt the balance of the agreement. Users will be informed of amendments via the Platform, email, or in writing.

Termination

The Company may remove, restrict, cancel or suspend your access to the Service if it considers, in its sole discretion, that you have breached these Terms. You may terminate your agreement with the Company by ceasing to access the Service and deleting all copies within your control. Termination does not affect rights or remedies accrued before that point.

Indemnity

You agree to indemnify and hold harmless the Company, its contractors and licensors, and their respective directors, officers, employees and agents, from claims and expenses — including attorneys' fees — arising from your use of the Services and/or the Platform, including violations of these Terms.

Severability

If any provision of these Terms is found invalid, illegal or unenforceable, that provision will be deemed deleted to the extent required, without affecting the validity of the remaining provisions.

Assignment

Rights and licenses granted under these Terms may not be transferred or assigned by you, but may be assigned by the Company. Any unauthorized transfer or assignment is null and void.

Waiver

No waiver of any term of this agreement shall be treated as a further or continuing waiver of that term or any other term, and the Company's failure to assert any right under this agreement does not waive that right.
